Questions Nia answers

The questions you keep asking yourself. Nia just answers them.

When should I raise?

Working backward from your runway, target close timeline, and post-close buffer, Nia pinpoints the latest safe start date and tells you when to begin investor conversations — not when you're already running out.

NiaNia

What does this round do to my dilution?

Pre-money, post-money, option pool top-up, SAFE waterfalls. Nia models each scenario in seconds so you walk into term-sheet conversations knowing exactly what 'standard terms' actually cost you.

Is my data room investor-ready?

Continuously maintained financials, cap table, contracts, compliance docs — versioned and current. When a VC asks, you send a link, not a 4-day scramble.

The old way vs. Nia's way

The old way
  • Monthly investor updates written at midnight the day they're due — inconsistent format, stale numbers
  • Cap table lives in a spreadsheet that hasn't been updated since the last SAFE closed
  • SAFE conversion math done on the back of a napkin — you find out dilution was wrong at priced round
  • Data room assembled in a panic 2 weeks into due diligence — half the docs are outdated
  • Board deck financials pulled manually from 3 sources — numbers don't match the investor update you sent last week
Nia's way
  • Monthly investor update drafted automatically with live MRR, runway, burn, and key wins — you just add color and hit send
  • Cap table always current — every SAFE, option grant, and conversion modeled in real time
  • SAFE conversion scenarios run in seconds: 'What does dilution look like at a $15M vs. $20M cap?'
  • Data room maintained continuously — financials, contracts, and compliance docs always up to date
  • Board deck financial section generated automatically — consistent with your investor updates and your books

Questions about Nia

Does Nia replace Carta?+

For most pre-seed through Series A companies, mostly yes. Nia tracks your cap table, models SAFE conversions and dilution, maintains your equity ledger, and offers 409A valuations through a partner. The two things Carta still does that Nia doesn't: handle the signing and storage of equity documents, and give employees a self-service portal to view their vesting schedules. If those matter today, run both side by side. If not, Nia replaces Carta and saves you $2K+/year.

How does Nia draft investor updates?+

Nia pulls your latest MRR, runway, burn rate, and key metrics from your live financials (maintained by Vic and Hugo). She structures the update in a consistent format your investors will recognize, highlights wins and risks, and includes your ask. You review, add your narrative, and send.

Can Nia model different SAFE conversion scenarios?+

Yes. Give Nia a valuation cap and she'll show you exactly how every outstanding SAFE converts — post-money SAFEs, pre-money SAFEs, MFN clauses, and pro-rata rights. Compare multiple scenarios side by side so you negotiate your next round with full visibility.

What goes in the data room?+

Nia maintains financials (P&L, balance sheet, cash flow), cap table, incorporation docs, material contracts, employee agreements, and compliance items. Everything is versioned and always current. When a VC asks for your data room, you send a link — no scrambling.
